Core Client Terms of Service

Welcome to Core Client LLC (“we,” “us,” “our”). By creating an account and using our website, AI assistant web app, chat bot platform, or any related services (“the Services”), you (“the user”) agree to the following Terms of Service (“Terms”). Please read them carefully as they govern your use of our Services.


1. Introduction

Core Client provides software and cloud-based AI tools—including AI-powered assistants, chat bot platforms, and integrations with Gmail, Google Calendar, Twilio, and Salesforce—to help you manage tasks, communications, knowledge files, and automation. By accessing or using our Services, you agree to comply with these Terms. If you do not agree, you may not use our Services.


2. Eligibility

To create a Core Client account or purchase a subscription, you must be at least 18 years old and have the authority to enter into these Terms.
Teachers, schools, or organizations may use the Services for educational purposes, including deployment of chat bots for students or minors; in such cases, the adult account holder is responsible for compliance with all applicable consent and privacy laws governing student/minor use.


3. Account Registration and Security

When you create an account, you must provide accurate and complete information, including your name, email address, phone number, and payment details as needed. You are responsible for maintaining the confidentiality of your account, using strong passwords and multi-factor authentication (MFA) where available. Do not share your login credentials.
All activity under your account is your responsibility. Notify us immediately if you suspect unauthorized use of your account.


4. Prohibited Activities

You may not use the Services for any unlawful, harmful, or prohibited purpose, including but not limited to:

  • Sending spam or unsolicited communications.
  • Attempting to breach or undermine the security, stability, or performance of the Services.
  • Violating intellectual property rights or privacy of others.
  • Collecting, storing, or sharing sensitive data about minors without proper legal authority or consent.
  • Misusing integrations with Gmail, Google Calendar, Twilio, Salesforce, or any third-party services.
  • Impersonating others or providing false information.

Violation of these rules may result in immediate suspension or termination of your account.


5. Termination of Service

Core Client reserves the right to suspend or terminate your account, with or without notice, if you violate these Terms or misuse the Services.
In the event of termination due to violation of these Terms, you will not be entitled to a refund of any fees paid.


6. Data Collection and Privacy

We collect and process personal data—including name, email address, phone number, account information, knowledge files, and, if applicable, voice recordings, calendar events, and emails—solely for the purpose of providing and improving the Services.

We do not sell or rent your data. Your data is only shared with trusted third parties as necessary for the operation of the Services, such as integrations with Gmail, Google Calendar, Twilio, and Salesforce.

You may access, modify, or delete your data at any time. When you delete a chat bot, knowledge file, or your account, it is permanently removed from our systems.


7. Data Security

We take data security seriously. All data is encrypted in transit (using HTTPS/TLS) and at rest (using robust standards such as AES-256), including knowledge file uploads, chat bot content, and other user data. Uploaded documents may be divided into encrypted chunks for added protection. A firewall is in place to safeguard your information.
Core Client staff does not have access to your unencrypted data.


8. Features and User Control

You have full control over the features you use, including task management, email and phone integrations, calendar events, and chat bot configurations. You may opt in or out of specific features or integrations at any time through your account settings.
Automated actions (such as sending emails or messages) will not be performed without your explicit approval, unless you have configured them to run automatically.


9. Third-Party Services and Integrations

Our Services may integrate with Gmail, Google Calendar, Twilio, Salesforce, and other third-party providers. We use secure OAuth2 APIs and follow industry best practices for these connections.

We strive to provide reliable integration but are not responsible for downtime or performance issues caused by third-party providers. You agree to hold Core Client harmless from any claims or damages arising from issues with third-party services.


10. Automated Actions

Automated actions, such as sending emails, archiving messages, or creating calendar events, require your explicit confirmation unless you have set up automation in your preferences. Pending actions will be presented for your review and approval in the app interface.


11. Pricing, Payments, and Refunds

The Services are offered on a subscription basis, with options for monthly or yearly payments. Subscriptions renew automatically unless canceled prior to the next billing cycle.
If you are not satisfied, we offer refunds for the most recent month of service (for monthly plans) or the last month of service (for yearly plans). Refunds do not apply to yearly subscriptions beyond the last month of service.


12. Service Availability and Downtime

We strive to maintain 24/7 availability of the Services, but occasional downtime may occur due to maintenance, upgrades, or issues with third-party providers. We are not liable for any interruption, loss of data, or delays resulting from such events.


13. Limitations of Liability

To the fullest extent permitted by law, Core Client LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits arising from your use of the Services.
You agree to use the Services at your own risk and to hold Core Client harmless from any damages resulting from your use.


14. Indemnification

You agree to indemnify and hold harmless Core Client LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights.


15. Warranties

The Services are provided “as-is” and “as-available.” Core Client makes no warranties or guarantees regarding the performance, reliability, or availability of the Services.


16. Educational and Student Use

If you are an account holder deploying the Services for use by minors (such as students), you are solely responsible for obtaining any required parental or school consent and for ensuring compliance with applicable laws.
Core Client does not knowingly collect personal data directly from minors under 18 without the oversight and consent of the responsible adult account holder.


17. Dispute Resolution

Any disputes arising from the use of the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to a trial by jury or to participate in a class action lawsuit.


18. Governing Law

These Terms will be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to conflict of law principles.


19. Changes to Terms

We may update these Terms from time to time. You will be notified of changes by email, SMS (if opted in), and/or upon your next login. Continued use of the Services after changes become effective constitutes acceptance of the new Terms. If you do not agree, you may delete your account.
